Del. High Court Clarifies Just Cause Standard

To remedy a lack of clarity, the Delaware Supreme Court offered guidance in a recent opinion as to the meaning of just cause. The Feb. 27 opinion in Vann v. The Town of Cheswold affirmed an August 2007 Superior Court decision that said the Town Council of Cheswold was within its right and had just cause to fire Robbin Vann, the town’s former police chief.    More

Creditor Can Make Fiduciary Duty Claim Against Del. Corporation in N.J.

In a recent decision issued by the U.S. Bankruptcy Court for the District of New Jersey, the court held that New Jersey law applied to a claim of breach of fiduciary duty asserted against the directors of a Delaware corporation by a creditor located in New Jersey.    More
