The terms of a so-called friendly agreement between a retired federal judge and a pizza chain founder were not sufficient to demonstrate a valid contract, the Delaware Court of Chancery has ruled, dismissing the pizza chain founder’s complaint.

In a Feb. 18 decision, the court dismissed a lawsuit from Dominick A. Pulieri and Sunview Corp. against Boardwalk Properties LLC, which is controlled by former U.S. District Judge Joseph J. Farnan Jr. of the District of Delaware. The lawsuit alleged that Farnan swindled Pulieri out of the Sunview Motel and broke a promise to return it several years later.
