DGCL, Alternative Entity Bills Sailing Toward Final Approval

A suite of amendments to the Delaware General Corporation Law and the statutes governing limited liability companies and partnerships are headed for final legislative approval this month after moving easily through the House and a Senate panel.

The Court of Chancery has tossed a constitutional challenge to a Delaware statute that denies inmates access to Department of Correction policies and procedures for failing to establish standing, saying the plaintiffs' position would undermine public policy and jeopardize safety.
