The Delaware House of Representatives is now set to be the next stage for consideration of a measure that would prevent stock corporations from passing bylaws that would force activist shareholders to pay attorney fees when they unsuccessfully sue over the actions of corporate directors and officers.

The state Senate last week approved the measure, SB 75, on a 16-5 vote. The measure required a two-thirds majority for approval as a change to the Delaware General Corporation Law.
